Chairman & Chief Executive Officer,
TD Bank Financial Group
Chairman, TD Waterhouse Group, Inc.

Under the leadership of A. Charles Baillie, TD Bank Financial Group has become arguably the most dynamic Canadian bank with an increas- ingly strong presence, both domestically and globally.

Mr. Baillie began his career at TD in 1964. He progressed through a number of positions in the Bank, and, in 1979, he was appointed Vice President and General Manager charged with establishing TD's USA Division. Following a strategy of specializing in lending to targeted sectors like the telecommunications industry, he increased TD's U.S. loan book by more than tenfold, to US$10 billion in five years.

In 1984, he returned to Head Office. He went on to become Executive Vice President, Corporate and Investment Banking Group and was responsible for building TD Securities. In 1992, he was named Vice Chair, Corporate and Investment Banking, a position he held until 1995 when he was named President.

In 1997 he was appointed Chief Executive Officer and added the role of Chairman in early 1998.

Mr. Baillie has overseen TD's acquisition of discount brokerages in Australia, the United Kingdom, Hong Kong and the US. In 1996, TD made the then-largest acquisition in its history when it purchased US-based Waterhouse Securities, Inc. for CDN$728 million. TD's global discount brokerage business -- TD Waterhouse Group, Inc.-- is now the world's 2nd largest. In June 1999, TD raised approximately CDN$1.5 billion with an initial public offering of 11.53% of TD Waterhouse Group, Inc. - which was at the time the largest Internet related IPO on the New York Stock Exchange. On February 1, 2000, TD completed its acquisition of CT Financial Services Inc. The acquisition will result in the creation of a new retail banking division, TD Canada Trust. TD Bank Financial Group is now Canada's premier financial institution with more than 10 million customers.

Mr. Baillie grew up in Orillia, Ontario and graduated from the University of Toronto's Trinity College in 1962 with an Honours Bachelor of Arts Degree in Political Science and Economics. Mr. Baillie earned his MBA from Harvard Business School in 1964.

Mr. Baillie is a director of several corporations including Texaco, Inc., Cadillac Fairview Corporation Limited and Dana Corporation. He is also involved in numerous charitable and artistic organizations including serving as: Chairman of the United Way Campaign 2000, a member of the Honourary Cabinet of the Trinity College Campaign and the Capital Campaign for the University of Toronto. He is also director of Calmeadow, a non-profit organization specializing in microfinance.

He is a self-described 'travel, nature and history buff' and when vacationing enjoys travelling the world to pursue his passion for birdwatching -- accompanied by his wife and four grown children. He is an avid reader of history and collects antiquarian books, among other things.
